IMPORTANT NOTICE: THIS AGREEMENT IS SUBJECT TO BINDING ARBITRATION AND A WAIVER OF CLASS ACTION RIGHTS AS DETAILED IN SECTION 13.

These Terms of Use (the “Terms” or “Agreement”) set forth the terms and conditions under which individuals residing in the United States may use the Omenet Site and/or the Omenet Services (as defined below). Certain Services may be subject to additional policies, rules, or terms, which will be presented to you and which you must accept as a condition of using those Services.

Please read these Terms carefully before using the Site or Services. By accessing or using the Omenet Site, mobile application, or Services, you represent, warrant, understand, agree to, and accept these Terms in their entirety. If you do not agree, do not use the Site or Services.

This Agreement contains an Agreement to Arbitrate (Section 13) that requires you to submit claims against Omenet to binding and final arbitration on an individual basis, with limited exceptions. You may opt out of arbitration as described in Section 13.8.

These Terms incorporate Omenet’s Privacy Policy by reference. These Terms may be updated by Omenet from time to time. Material changes will be notified via email or prominent notice on the Site at least 30 days in advance. Your continued use after the effective date constitutes acceptance of the updated Terms.

Definitions

  • “Site” and “Services” mean the Omenet website (omenet.app), mobile applications, and all related tools, features, and services, including search, chat, booking, payments, tracking, and community features.
  • “Omenet,” “we,” “us,” or “our” refers to Omenet, Inc. and its affiliates.
  • “Care Seeker” means users seeking care services.
  • “Care Provider” / “Caregiver” means users offering care services.
  • “Content” means any information, profiles, messages, photos, videos, reviews, or other materials posted or transmitted through the Services.

1. Description of Services; Limitations; User Responsibilities

1.1 About Our Services Omenet is a two-sided marketplace platform that connects Care Seekers (families) with local Care Providers for child care, senior care, special needs care, and other caregiving needs. Key features include:

  • Profile creation and search
  • Inquiry-based chat-first booking flow
  • GPS location sharing and tracking (with consent)
  • Stripe payment processing
  • Ratings and reviews
  • Safety tools, reporting, and blocking features

We also provide tools to help users make informed decisions, but we do not employ Care Providers, perform comprehensive background checks (unless explicitly offered), or supervise services.

1.2 Limitations of Our Services

  • We are a platform only. We do not provide care services, employ caregivers, or act as an employment agency.
  • Care Seekers are solely responsible for compliance with all employment, tax, payroll, and labor laws.
  • All user-generated content is provided “as is.” We do not verify or guarantee the accuracy, suitability, or safety of any Care Provider or Care Seeker.
  • We do not guarantee the quality, timing, legality, or outcome of any caregiving arrangement.
  • GPS tracking and chat features are provided for convenience and safety; users remain responsible for their own safety and conduct.

1.3 User Responsibilities

  • You are solely responsible for vetting, interviewing, background checking (via third parties if desired), and selecting any Care Provider or Care Seeker.
  • Care Seekers must comply with all applicable laws when hiring caregivers.
  • Care Providers must provide accurate availability, qualifications, and pricing.
  • You must maintain accurate account information and only use the platform for legitimate caregiving purposes.

2. Eligibility to Use the Site and Services

You must be at least 18 years old and a legal resident of the United States. By using the Services, you represent and warrant that:

  • You have the legal capacity to enter into this Agreement.
  • You will use the Services only for lawful caregiving purposes.
  • Neither you nor any member of your household has been convicted of certain disqualifying crimes (felonies, crimes involving violence, sexual abuse, child endangerment, fraud, etc.), is required to register as a sex offender, or is otherwise ineligible under applicable law.
  • You will not use the platform if you have been previously banned by Omenet.

Omenet reserves the right to verify eligibility and terminate accounts that do not meet these criteria.


3. Rules for User Conduct and Use of Services

3.1 Content Rules All Content you post must be accurate, truthful, and relevant to caregiving. You may not post:

  • Defamatory, abusive, obscene, harassing, discriminatory, or illegal material
  • Content that infringes intellectual property or privacy rights
  • False or misleading information about your qualifications, availability, or services

You grant Omenet a worldwide, perpetual, irrevocable, royalty-free license to use, display, and distribute your Content in connection with the Services.

3.2 Prohibited Uses You agree not to:

  • Use the platform for any unlawful or fraudulent purpose
  • Harass, threaten, or harm other users
  • Scrape, copy, or misuse data from the Site
  • Create multiple accounts or impersonate others
  • Attempt to circumvent safety or security features
  • Use automated tools (bots, scrapers) without authorization

Violation may result in immediate account termination and potential legal action.


4. Background and Verification Checks (If Offered)

Omenet may offer or facilitate third-party background checks, identity verification, or reference checks. These are provided by independent vendors and governed by the Fair Credit Reporting Act (FCRA) where applicable.

Omenet does not guarantee the accuracy or completeness of any background information. You release Omenet from any liability arising from the use or results of such checks.


5. Termination

Omenet may terminate or suspend your account at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, you lose access to the Services and any unused credits or subscriptions. Omenet is not required to retain or return your Content.


6. Privacy

Your privacy is important to us. Please review our Privacy Policy (incorporated herein) for details on how we collect, use, and share your information.


7. Links to External Sites

Links to third-party websites are provided for convenience only. Omenet does not endorse or control such sites and is not responsible for their content or practices.


8. Payment and Refund Policy

8.1 Payments Payments are processed via Stripe. Care Seekers pay Care Providers through the platform. Omenet may charge platform fees (clearly disclosed).

8.2 Subscriptions and Fees Certain features may require paid subscriptions or one-time fees. Subscriptions auto-renew unless canceled.

8.3 Refunds All payments are generally non-refundable except where required by law or as explicitly stated at the time of purchase. Cancellations of bookings must follow the booking flow rules (e.g., before confirmation or within the allowed cancellation window).

You authorize Omenet/Stripe to charge your payment method for all amounts due.


9. Release of Liability for Conduct and Disputes

YOU AGREE TO RELEASE Omenet, its officers, directors, employees, affiliates, and agents from any and all claims, damages, losses, or liabilities arising out of or related to:

  • Your interactions with any Care Seeker or Care Provider
  • Any acts or omissions of users (online or offline)
  • Any Content posted by users

This release includes claims for personal injury, property damage, emotional distress, or any other harm.


10. Age Restrictions

The Services are intended for users 18 years and older. Accounts of users under 18 will be terminated.


11. Disclaimers; Limitations of Liability; Indemnification

11.1 No Warranty The Site and Services are provided “AS IS” and “AS AVAILABLE” without any warranties of any kind. Omenet disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11.2 Limitation of Liability To the fullest extent permitted by law, Omenet’s total liability shall not exceed the amount you paid to Omenet in the twelve (12) months preceding the claim, or $100, whichever is greater. Omenet shall not be liable for indirect, incidental, consequential, or punitive damages.

11.3 Indemnification You agree to indemnify, defend, and hold harmless Omenet from any claims, losses, or damages arising from your use of the Services, your Content, your interactions with other users, or your violation of these Terms.


12. Copyright Policy (DMCA)

Omenet respects copyright law. If you believe material on the Site infringes your copyright, please contact our copyright agent with the required DMCA information.


13. Agreement to Arbitrate

13.1 Agreement to Arbitrate Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) or National Arbitration and Mediation (NAM), rather than in court.

13.2 Class Action Waiver You and Omenet agree to bring claims only on an individual basis. No class, representative, or consolidated actions are permitted.

13.8 Opt-Out You may opt out of arbitration by sending a written notice within 30 days of first using the Services to the address listed in Section 18.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any disputes not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.


15. Consent to Electronic Communications

You consent to receive all notices, agreements, and other communications electronically.


16. Miscellaneous

  • No agency, partnership, or employment relationship is created.
  • If any provision is held invalid, the remainder remains in effect.
  • These Terms constitute the entire agreement between you and Omenet.

17. Severability

If any provision is found unenforceable, it will be replaced with a valid provision that most closely reflects the original intent.
